- Taiwan AGM Agenda Composition Remained Largely Stable: Statutory reports, dividend-related proposals, and director election proposals continued to account for a significant share of AGM agendas. Proposals to amend articles of association and bylaws declined markedly following the completion of a market-wide round of regulator-driven constitutional amendments during the previous proxy season.
- The AGM Calendar Became More Balanced: The introduction of the daily AGM cap contributed to a more even distribution of meetings across May and June. Although peak-day congestion remained significant, the experience provides an early indication that regulatory intervention can influence meeting scheduling without materially disrupting the overall proxy season.
- Gender Diversity Entered a New Phase: The FSC’s board gender diversity reforms contributed to a significant increase in female representation on the boards of Taiwanese listed companies. The reforms appear to have largely achieved their initial objective of ensuring female representation on corporate boards, with attention now shifting toward achieving greater gender balance across boards.
- Board Independence Continued to Strengthen: Board independence continued to increase, with a growing number of companies achieving at least one-third board independence under ISS criteria. The narrowing gap between ISS and company classifications indicates closer alignment with internationally recognized independence standards. This trend is expected to continue as companies adapt to evolving regulatory requirements and complete board renewals ahead of the 2027 compliance deadline.
